Our company is looking to purchase U.S. Treasuries and Bank MTNs. To purchase these instruments, we must draw down against our Revolving Line of Credit and/or Margin Accounts, so instruments must be purchased on a DVP T-3 basis.

Below are the procedures and conditions under which our company will engage and purchase U.S. Treasuries and Bank MTNs.

PRICE:

Due to requirements of our Revolving Line of Credit and Margins, we can only purchase:

1)        U.S. Treasuries and/or Stripes at 85% of current market value.
2)        Bank MTNs at values ranging from 75% to 80% of current value depending on the bank. We request only top 100 banks be submitted for consideration.

PROCEDURES:

1)        Seller submits the ISIN/CUSIP number for verification of instruments.
2)        Upon acceptance, we come to terms with Seller MOU or LOI
3)        Seller delivers the instruments to be sold to our account at designated bank on a DVP T-3 basis.
4)        Seller receives payment within the three day period.

AMOUNTS:

We have Revolving Lines of Credit and Margin Accounts at three different major banking groups. We usually stay in the $200 Million to $500 Million range per purchase, but have completed transactions tranches in the $50 Million range. Upon completing a couple of transactions will a seller, we will consider increasing the amounts being purchased.

Please do not submit any instruments to us unless you know for a fact that the instrument can be delivered to on a DVP T-3 basis. Upon verification of instrument, we will only work on with the sellers representative, so all brokers must back away from the transaction and they will be paid at the same time and under the same conditions as the seller.

Will also consider doing loans against these instruments.
